1. Overview

These Terms of Service (“Terms”) govern the relationship between Vita AI Ltd (“Vita AI”, “we”, “our”, or “us”) and the client (“Client”, “you”, or “your”) engaging with our services, including but not limited to Done-For-You (DFY), Done-With-You (DWY), and our Course and Template offerings. By purchasing a service or entering into a project engagement, you agree to these Terms.

2. Scope of Services

Vita AI provides AI automation consulting, implementation, and education services across three primary formats:

  • Done-For-You (DFY): Full-service AI automation projects tailored to your business operations.

  • Done-With-You (DWY): Collaborative, guided programs for hands-on implementation support.

  • Course & Templates: Self-paced educational content and tools to support AI automation learning.

Specific deliverables and timelines are outlined in individual proposals or project briefs.

3. Fees & Payment Terms

  • All DFY and DWY projects require 50% payment upfront to initiate work, with the remaining 50% due upon final delivery.

  • For projects exceeding 12 weeks or including phased deliverables, milestone-based invoicing may apply.

  • All prices are quoted in GBP (£) and are exclusive of VAT, which will be added where applicable.

  • Payments are due within 7 calendar days of the invoice date unless otherwise agreed in writing.

  • Late payments may incur a 2% monthly interest fee, and continued delays may result in suspension of services.

4. Refund Policy

  • Courses & Templates: Eligible for a 7-day money-back guarantee, provided no significant portion of the material has been accessed or downloaded.

  • DWY & DFY Projects: Due to the nature of bespoke consulting and implementation, no refunds will be issued once the initial discovery or kickoff session has been conducted.

5. Intellectual Property

  • Upon full payment, all deliverables, assets, and automation systems developed for the Client will become the Client’s property.

  • Vita AI retains the right to showcase anonymized project outcomes and visuals for portfolio, case study, or marketing purposes unless expressly restricted in writing.

  • Any pre-existing tools, templates, or proprietary frameworks used during a project remain the intellectual property of Vita AI.

6. Confidentiality

Both parties agree to maintain strict confidentiality over all non-public information exchanged during the course of the engagement. This includes business data, internal processes, client/customer information, and strategy documents.

7. Data Protection & Compliance

Vita AI operates in accordance with UK GDPR and other applicable data protection laws. We do not store or share client data beyond what is necessary for project execution and legal compliance. Any third-party tools used (e.g., Zapier, Make, OpenAI) will be subject to their respective privacy policies.

8. Project Timelines & Client Obligations

  • We commit to delivering projects within the timelines agreed upon, assuming timely cooperation and feedback from the Client.

  • Delays caused by missed deadlines, lack of access, or unresponsiveness from the Client may result in adjusted timelines and/or additional fees.

  • The Client agrees to provide accurate, timely information and approvals to ensure smooth project delivery.

9. Retainer Services (Optional)

  • Post-project, Clients may choose to engage Vita AI on a monthly retainer, starting from £2,500/month.

  • Retainers include dedicated support, AI updates, system optimization, and implementation of new features or improvements.

  • A minimum 30-day notice is required to terminate the retainer. Support includes up to 5 hours/month and a standard response time of 1–2 business days.

10. Limitation of Liability

To the fullest extent permitted by law, Vita AI shall not be liable for any indirect, incidental, or consequential damages, including loss of revenue or business interruption. Total liability for any claim related to our services shall not exceed the total fees paid by the Client for the specific project.

11. Governing Law & Jurisdiction

These Terms shall be governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts located within the United Kingdom.

12. Amendments

Vita AI reserves the right to update or modify these Terms at any time. Clients will be notified of any significant changes via email or through our website.

13. Acceptance

By engaging Vita AI in any paid service—whether via signed proposal, payment, or written confirmation—you acknowledge that you have read, understood, and agreed to these Terms of Service.
